Transfer of ownership/cancellation of commercial registration for a deceased individual's establishment
In the event of the death of the owner of the individual establishment, it is necessary to correct the status of the establishment by transferring its ownership to another individual or changing its legal form from an individual establishment to a company:
- Maintaining its legal form as an individual establishment
- You must submit a request through the “Manage Representatives” service on the commercial licensing portal "Sijilat" to add the representative for the commercial registration of the individual establishment under a notarized power of attorney. You can submit this request through the electronic key of the representative or through a professional office provided with a power of attorney from the heirs to submit the request.
- Transferring of ownership of the CR of the deceased to one of the heirs
- The establishment's ownership can be transferred to one of the heirs by submitting a request through the "Transfer Ownership" service on the commercial licensing portal "Sijilat".
- Converting the legal form from an individual establishment into a company
- If the heirs wish to convert the legal form of the deceased company from an individual establishment into a “company” among all the heirs or some of them or other partners, a request for "Change Company Type" of the CR must be submitted through the commercial licensing system "Sijilat".
- Deletion of CR
- A request for "Delete Commercial Registration Branch" must be submitted through the commercial licensing system "Sijilat".

- Official power of attorney from the heirs
- A signed decision by the heirs to convert the individual establishment into a commercial company (only in case of a request to convert the individual establishment into a commercial company)
In the event of the death of one of the partners of the company
- Request for changing partners
- You can submit a request to change the partners through the “Manage Partners” service on the “Sijilat” portal to replace the name of the deceased partner with his heirs or some of them or other individuals.
- Liquidation of the company
- If the heirs wish to liquidate the company, you can submit a request through the “Manage Liquidation” service on “Sijilat” portal.
- Transfer of company ownership
- To transfer the company to an individual establishment owned by one of the heirs or another person, you can submit a request through the "Transfer Ownership" service on the commercial licensing portal "Sijilat.”

- Partners' meeting minutes (for limited liability companies / and for partnership and simple recommendation companies, it should be noted that the shares should be transferred within 15 days from the date of death unless the company's founding contract states otherwise with the deceased's heirs) or minutes of the extraordinary general assembly meeting for joint-stock companies
- Draft waiver declaration (in case of waiving part or all of the shares held by the heirs)
- Draft memorandum of association or amendment of the memorandum of association as appropriate (for limited liability companies) / draft articles of association or amendment of the articles of association as appropriate (for partnership and simple recommendation companies) / draft articles of association and bylaws or draft amendment of the articles of association and bylaws as appropriate (for joint-stock companies)
